Foreign business ownership

Own and control 100% of your company as a foreign entity.

Taiwan allows full foreign ownership of companies, enabling international investors to establish and operate businesses without the need for a local shareholder. Foreign-owned companies must obtain approval from the Investment Commission of the Ministry of Economic Affairs (MOEA), and certain industries may have restrictions or require special licenses. While most sectors are open to full foreign ownership, businesses in regulated industries, such as finance and telecommunications, may be subject to additional requirements.

Company registration process

Simple steps to setting up your new company in Taiwan.

Simple steps to setting up your new company in Taiwan

1. Reserving the Chinese company name and defining the business scope

Submit an application to the Ministry of Economic Affairs (MOEA) to check the availability and reserve the company’s Chinese name. The name must be unique and comply with Taiwan’s naming regulations. At this stage, the company’s business scope is also defined.

2. Applying for foreign investment approval (for foreign-owned companies)

Foreign investors must obtain approval from the Investment Commission of the MOEA before proceeding. This involves submitting an investment application, business plan, and supporting documents. The approval process typically takes two to four weeks.

3. Opening a preparatory corporate bank account

A preparatory bank account must be opened in Taiwan to receive the initial investment capital. Foreign-owned companies may need additional documentation, and some banks require a local signatory.

4. Examination of investment capital

Once the capital is injected into the preparatory account, the funds must be verified by a certified public accountant (CPA) to ensure compliance with Taiwan’s foreign investment regulations. This verification is required before proceeding with company registration.

5. Registering the company with the MOEA

After investment capital verification (if applicable), submit the company registration application to the MOEA. This includes providing company details, shareholder and director information, and the company’s articles of incorporation. Once approved, the company will receive its approval letter from the Ministry of Economic Affairs and establishment registration form.

6. Converting the preparatory account into an official corporate bank account

After completing company registration, the preparatory account is converted into an official corporate bank account, which the company will use for business transactions.

7. Applying for tax registration

Register with the National Taxation Bureau to obtain a unified business number (UBN) and a tax ID. Depending on the business activities, the company may also need to register for value-added tax (VAT) and other applicable taxes.

8. Reserving the English company name

Once the company is officially registered, an English name can be reserved for branding and international business purposes.

9. Registering as an exporter/importer (if applicable)

If the company intends to engage in import or export activities, it must register with Taiwan’s Customs Authority and obtain the necessary permits to facilitate cross-border trade.

10. Registering for labour and social security (if hiring employees)

If your company plans to hire employees, it must register with the Bureau of Labor Insurance for labour insurance, health insurance, and pension contributions, ensuring compliance with Taiwan’s employment regulations.

11. Obtaining business registration and commencing operations

Once all registrations and approvals are completed, the company can begin operations. Ongoing compliance, including tax filings, bookkeeping, and corporate governance, is required to maintain good standing with the authorities.

FAQ

Common questions & answers.

What are the main types of business entities in Taiwan?

Taiwan offers several business structures, including a Limited Company, which is suitable for small to medium-sized enterprises, and a Company Limited by Shares, which is ideal for larger businesses seeking external investors. Foreign businesses can also choose to set up a Branch Office for direct commercial activities or a Representative Office, which is limited to market research and liaison functions without revenue-generating operations.

How long does it take to register a company in Taiwan?

The registration timeline depends on the business structure and industry requirements. Generally, a limited company takes around four to six weeks, while a company limited by shares requires six to eight weeks due to additional regulatory steps. A branch office can typically be set up within four to six weeks, whereas a representative office, which involves fewer formalities, can be established in about two to four weeks. Processing times may vary based on document approvals and any additional licensing requirements.

What are the key requirements for foreign investors setting up a company in Taiwan?

Foreign investors must appoint at least one shareholder and one director, both of whom can be individuals or corporate entities. A registered office address in Taiwan is required, and foreign-owned companies must obtain investment approval from the Investment Commission under the Ministry of Economic Affairs. Opening a corporate bank account is also necessary, though local banking regulations may add additional steps to this process.

Do I need a local director or shareholder to register a company in Taiwan?

Taiwan allows 100% foreign ownership, and there is no mandatory requirement for a local director or shareholder. However, having a local representative or agent can be beneficial for administrative tasks such as company registration, tax filing, and opening a corporate bank account. In some cases, banks may request a locally based signatory to facilitate account management.

What are the ongoing compliance requirements for companies in Taiwan?

Registered companies must comply with annual tax filings, including corporate income tax, value-added tax (VAT), and withholding tax if applicable. Bookkeeping and financial records must be maintained in accordance with Taiwan’s accounting standards. Companies limited by shares are also required to hold an annual general meeting. If the company has employees, it must make mandatory labor and social security contributions. Certain industries may also require additional permits or licenses to operate legally.
